Terms of Service

This website, www.mapjay.com (the "site"), is owned and operated by MapJay. By using the site, services, and our platform, along with associated data provided through the site or map content accessible via the services (collectively referred to as "Services"), you consent to adhere to the subsequent Terms of Service. These Terms, subject to periodic updates, collectively constitute the agreement ("Terms"). Kindly review them attentively, and if you do not agree with these Terms, refrain from using the Services.

To use the Services, you must be 18 years of age or older. By registering as a user or furnishing personal information on the site, you confirm that you are at least 18 years old.

If you are entering into this agreement on behalf of your company or another legal entity, you assert that you have the authority to legally bind that entity to these Terms. In such instances, the term "you" will refer to the entity you are representing.

Creating & Managing Account

In order to use our Services, you must register for or authenticate into a MapJay account.

Please carefully guard the security of your account. You are responsible for all use of the Services under your account, whether or not authorized. At our discretion, we may make limited exceptions to this policy for unauthorized use of your account if you notify us of the problem promptly.
We don't want you to leave, but have the freedom to cancel your subscription at any time. However, we do not provide prorated refunds for any unused time in the event of a cancellation mid-billing cycle.
Violation of any of these Terms may result in the immediate cancellation or suspension of your account, causing the automatic termination of the limited license granted to you, without prior notice.
Furthermore, MapJay reserves the right to cancel or suspend your account for any reason, providing you with a 30-day advance notice.
Upon cancellation or suspension, your right to use the Services will stop immediately. You may not have access to data that you stored on the site after we cancel or suspend your account.
Should we decide to cancel your entire account without cause, we will provide a pro-rata refund corresponding to the remaining portion of your service payment at the time of the account cancellation.

Using the Services

Subject to these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license and right to use the Services to create, publish, and distribute interactive maps.

We may choose to provide you with features and services that are in beta, undergoing internal evaluation or trial. By accessing these beta products, you commit to utilizing them solely for internal evaluation or testing purposes. Upon our written request, you must promptly discontinue all usage and eliminate all copies of beta products, providing us with written certification of such deletion.

Payments & Charges

You are responsible for settling all fees or charges to your account based on the fees, charges, and billing terms applicable when a fee or charge becomes due.
We retain the right to change products and product pricing at our discretion.
You have the flexibility to cancel your subscription at any time.
No refunds will be issued for the remaining period of the subscription after cancellation.
Upon cancellation, the subscription will remain active until the conclusion of the ongoing billing cycle.
To ensure a seamless experience and uninterrupted access to premium features, you must keep your billing information up-to-date. In the event of a failed payment due to outdated or inaccurate billing details, MapJay reserves the right to disable premium features until the billing information is successfully updated. Users are responsible for promptly updating their payment details to maintain uninterrupted access to the subscribed services and enjoy a continuous, hassle-free experience with MapJay.

Creating & Managing Content

You retain ownership of all content that you contribute to the Services via MapJay Editor, excluding any content that you receive from MapJay.

For the specific purposes of hosting your content to facilitate the provision of Services to you, and in the event you opt to make your content publicly accessible, allowing other users of the Services to download and use your content through the MapJay repository, you hereby provide MapJay with a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, and sublicensable right and license. This grants MapJay (and its service providers) the authority to host, install, use, copy, cache, publish, display, distribute, modify, create derivative works, and store your content. This granted right and license empower MapJay to host and replicate your content across its distributed platform. By granting these rights, you confirm, represent, and assure that you possess the necessary entitlement to provide MapJay with such rights.

Upon the termination of your account, MapJay will exert reasonable efforts to promptly eliminate your content from the site and discontinue its usage. Nevertheless, you acknowledge and agree that caching of or references to the content may not be immediately eradicated.

Publicity

We take pride in having you as our customer. Throughout the duration of this agreement, you grant us a global, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use your trademarks, service marks, and logos. This usage is specifically for identifying you as a MapJay customer and promoting and marketing our services. If, however, you have preferences regarding the specific use of your logo or name, please inform us, and we will duly respect your preferences.

Indemnification

You agree to indemnify and defend MapJay, its subsidiaries, affiliates, officers, agents, partners, and employees against any claim or demand, including reasonable attorneys' fees, arising from:

Your utilization of the Services;
Your breach of these Terms or any terms linked to our Services.
The use of the Services by your End Users in or through an application or service you furnish;
Content submitted, posted, extracted, or transmitted through the Services by you or your End Users.
